PROCESS DESCRIPTION: 

The dissolution of a company supposes the legal disappearance of it, but does not paralyze or end its activity, although if it becomes liquidatory, so a company in this situation must add the expression "in liquidation" in its corporate name .

A company can be dissolved in the following cases:

  1. By the cessation in the exercise of the activity or activities that constitute the corporate purpose. In particular, it will be understood that the cessation has occurred after a period of inactivity exceeding one year.
  2. By the conclusion of the company that constitutes its object.
  3. Because of the manifest impossibility of achieving the social purpose.
  4. By the paralysis of the social organs so that its operation is impossible.
  5. For losses that reduce the net worth to an amount less than half of the share capital, unless it is increased or reduced to a sufficient extent, and whenever it is appropriate to request the declaration of insolvency.
  6. Po production of the share capital below the legal minimum, which is not a consequence of compliance with a law.
  7. Because the nominal value of the non-voting social participants or of the non-voting shares exceeds half of the paid-in share capital and the proportion is not restored within two years.
  8. For any other cause established in the statutes.

Once the company has been dissolved, there are three ways:

  1. Transfer of the property, that is, the sale of it.
  2. Liquidation of the company, that is, cessation of activity, payment to creditors and partners, closing the company definitively.
  3. Contest of creditors, when the creditors cannot be faced, this legal figure can be requested by the creditors (forced contest) or by the debtor himself (voluntary contest).

The dissolution will be registered in the Mercantile Registry. Publication in the "Official Gazette of the Commercial Registry" (BORME).
